Terms of Service

1. Acceptance of Terms

By creating a ROZZ account or using ROZZ ERP services, you agree to these Terms of Service (“Terms”). These Terms constitute a legally binding agreement between you (or your company) and MB Rozz LLC (“ROZZ”).

If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that company.

2. The Service

ROZZ provides cloud-based manufacturing ERP software (“the Service”) on a Software-as-a-Service (SaaS) basis. The Service is provided on the plan and terms you select during signup or as agreed in a separate order form.

We reserve the right to modify, improve, or discontinue features of the Service with reasonable notice.

3. Free Trial

New customers may use ROZZ ERP free for 30 days (“Trial Period”) without providing payment details. At the end of the Trial Period, you may choose to subscribe to a paid plan or your access will be suspended.

Trial data is retained for 14 days after the Trial Period ends. We will send a reminder before deletion.

4. Payment & Billing

• Paid plans are billed per active user, per month (or annually if selected).
• All prices are in EUR and exclude VAT where applicable under Lithuanian law.
• Invoices are issued at the beginning of each billing period.
• Payment is due within 14 days of invoice date. Late payment may result in service suspension.
• Annual plans are non-refundable for the remaining period if cancelled mid-term.
• Monthly plans may be cancelled at any time with no penalty; cancellation takes effect at the end of the current billing month.

5. Acceptable Use

You agree not to use ROZZ to:

• Violate any applicable laws or regulations.
• Store or process data you do not have the right to process.
• Attempt to gain unauthorized access to ROZZ systems or other users' accounts.
• Reverse engineer, copy, or create derivative works of ROZZ software.
• Use the Service in a way that impairs its availability or performance for others.

6. Your Data

You retain full ownership of all data you enter into ROZZ (“Customer Data”). ROZZ processes Customer Data solely as a data processor acting on your instructions (as detailed in our Data Processing Agreement available on request).

Upon termination of your account, you may export your data for 30 days. After that period, data will be permanently deleted.

7. Uptime & Service Levels

ROZZ targets 99.9% monthly uptime for the Service, excluding scheduled maintenance (announced 48 hours in advance) and circumstances beyond our reasonable control. An SLA with service credits is available to Enterprise plan customers on request.

8. Limitation of Liability

To the maximum extent permitted by law, ROZZ's total liability for any claim arising out of these Terms shall not exceed the fees paid by you in the 3 months preceding the claim. ROZZ is not liable for indirect, incidental, consequential, or punitive damages.

9. Termination

Either party may terminate the agreement at any time. ROZZ may suspend or terminate accounts for material breach of these Terms, non-payment, or illegal activity, with notice where practicable.

10. Governing Law

These Terms are governed by the laws of the Republic of Lithuania. Any disputes shall be resolved in the courts of Vilnius, Lithuania, unless otherwise agreed in writing.

11. Changes to Terms

We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
